It sounds like you're trying to install Windows 98 Second Edition. It attempts to modify your existing AUTOEXEC.BAT file, adding a line that calls the DOSSTART.BAT file so that it can restart your machine in DOS if necessary.

The procedure fails if your AUTOEXEC.BAT is write-protected (check its attributes using Windows Explorer) or if it doesn't exist or is corrupt. In the latter case, go to the DOS prompt, execute EDIT AUTOEXEC.BAT, and in the editor, type @ECHO OFF, then close and save the file.

One other possibility comes to mind. There might be a problem with the hard drive. Before trying to perform the upgrade, run SCANDISK, then DEFRAG from Windows to check and correct hard drive problems.
