The PC doesn't boot with the new modem in place either because the new modem is defective or because it's trying to use resources allocated to essential hardware, like your video system.
If the old modem is in a standard ISA slot, make a note of which COM port it uses (usually COM 1 or COM 2), then remove it from the operating system. To do this, you need to go to Control Panel then open the Modems icon, then select and remove the old modem. Then you need to go to the System icon and remove the COM port it was using.
Then shut down the PC and remove the old modem physically. With the PC still shut down, physically install the new modem, preferably with its jumpers set for PNP (plug and play) but otherwise with its jumpers set to use the same COM port the old modem used.
If at the this point your PC doesn't boot up, you most likely have a defective modem.
If it boots and goes into Windows, Windows will assign a resource if the modem was set to PNP. If Windows doesn't have drivers loaded for the new modem, you'll need to supply them when asked. If the modem's jumpers were set for the same COM port as the old one, Windows should display messages indicating that it's installig the COM port, then installing the modem.
